Terms of use

These terms are an agreement between you and DataMind (“DataMind,” “we,” “us”), the publisher of the add-in:

DataMind Oda is published by Datamind, registered in Georgia under identification code 405458393, Tbilisi, Georgia.

On Microsoft Marketplace the add-in is listed under the publisher name DataMind OS. These terms cover DataMind Oda: AI Data Agent, the add-in for Microsoft Excel we call Oda in Excel (the “add-in”), including its updates.

By installing or using the add-in, you agree to these terms. If you use the add-in for your organization, you confirm that you are allowed to accept these terms for it, and “you” includes your organization. If you do not agree, do not install or use the add-in.

01 What the add-in is

The add-in is a task pane for Excel that connects to your organization’s DataMind workspace, an installation of DataMind OS that your organization runs on its own servers or that DataMind hosts for it. Through the add-in, an AI agent called Oda answers your questions, asks your organization’s Minds, reads and changes the open workbook under the permission mode you choose, reads files you attach, and runs code in a sandbox on your computer.

02 Your organization’s agreement comes first

The add-in works only with a DataMind OS subscription. Your organization’s agreement with DataMind for DataMind OS (the “license agreement”) governs the subscription, fees, service levels, support, data processing and the liability between your organization and DataMind. If these terms and the license agreement conflict, the license agreement wins.

These terms add the rules for the add-in itself.

03 Who can use it

You may use the add-in only if:

• your organization has a current DataMind OS subscription;
• your organization’s administrator has given you access to Oda in Excel; and
• you are at least 18, or the age of majority where you live, and use it for business purposes.

Your organization controls your account. It can change or remove your access at any time.

04 Your license

Subject to these terms and the license agreement, DataMind grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the add-in with Microsoft Excel, for your organization’s internal business purposes, while your organization’s subscription is active.

DataMind and its licensors keep all rights not expressly granted. The add-in is licensed, not sold.

05 What you may not do

You may not, and may not help anyone else to:

• copy, modify, translate or make derivative works of the add-in, except as the law allows despite this limit;
• reverse engineer, decompile or disassemble the add-in, except as the law allows despite this limit;
• get around the add-in’s sign-in, approvals, sandbox, content security policy or any limit your organization or DataMind sets;
• use the add-in to access data or Minds you are not authorized to reach;
• rent, resell, sublicense or offer the add-in as a service to others;
• use the add-in or its output to build or train a competing product or AI model;
• use the add-in for anything unlawful, to infringe anyone’s rights, or to create or spread malware, spam or harmful content;
• send content you do not have the right to share, including personal data you are not allowed to process;
• use the add-in where its failure could lead to death, injury or serious physical or environmental harm.

06 Your content and your workbooks

• Your content stays yours. Your messages, your workbooks, the files you attach and the results Oda produces for you (“output”) belong to you or your organization, as the license agreement sets out. DataMind gets only the rights it needs to run the add-in and the service for your organization.
• You are responsible for your content. Make sure you may use and share it, including with the AI models described in the privacy policy.
• Workbook changes. Oda changes your workbook only through its tools, under the permission mode you choose. Review changes, keep backups of important files, and use Show on sheet, Revert turn, Excel’s undo or snapshot sheets where they apply. Some changes, such as inserted sheets, cannot be reverted by Revert turn.
• What travels with the file. Data Oda pulls into a workbook, and the add-in’s settings saved in it, stay in the file and go wherever you send it. Your organization’s rules about sharing company data apply.

07 AI features

• AI can be wrong. Oda’s answers, formulas, charts, code and other output are generated with AI models. They can be inaccurate, incomplete or out of date, even when they look confident. Check output before you rely on it.
• Not professional advice. Output is not financial, investment, accounting, tax, legal or other professional advice. Decisions you make with it are yours.
• Untrusted content. Workbooks, files and web pages from others can contain hidden instructions meant to mislead an AI. Be careful with content you did not create, use Ask before edits when you work with it, and do not approve changes you do not understand.
• Approvals. Approval cards and the permission modes help you stay in control, but they do not guarantee that every change is correct. You are responsible for what you approve and for the permission mode you choose.
• Reports. If an answer is harmful, offensive or wrong, use Report this answer, which goes to your organization’s administrators in your DataMind workspace. To tell DataMind, email support@datamind.com. We review every report we receive.

08 Third-party services

The add-in runs inside Microsoft Excel, which Microsoft provides under its own terms. The AI models Oda uses are provided by third parties through DataMind’s AI gateway, as described in the privacy policy.

Where your organization turns them on, Oda can use web search and page reading services and connectors your administrator adds. Those services are provided by third parties under their own terms, and DataMind is not responsible for them or their content.

09 Privacy

How the add-in handles personal data is described in the Oda in Excel privacy policy.

10 Updates and availability

The add-in may update itself without notice, for example to fix problems, improve security or add, change or remove features. Some features depend on your version of Excel, where Excel runs, your organization’s settings and your permissions. We do not promise that the add-in will always be available, work with every version of Excel, or be free of errors.

11 Feedback

If you send us ideas or suggestions about the add-in, we may use them without obligation to you.

12 Our property

The add-in, its design and its code belong to DataMind and its licensors. DataMind, DataMind OS, Oda, AI Minds and the DataMind and Oda logos are trademarks of DataMind. Microsoft, Excel and Microsoft 365 are trademarks of the Microsoft group of companies. Other names belong to their owners. Nothing in these terms gives you a right to use our trademarks.

13 Suspension and termination

Your right to use the add-in ends automatically when your organization’s subscription ends or your organization removes your access. DataMind may suspend or end your use of the add-in if you break these terms, if your use puts others or the service at risk, or if the law requires it. When your right ends, stop using the add-in and remove it. Sections 5, 6, 7, 11, 12 and 14 to 20 continue after termination.

14 Disclaimer

To the extent the law allows, and except as the license agreement states otherwise, the add-in and its output are provided “as is” and “as available,” without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy.

15 Microsoft is not a party

These terms are between you and DataMind only. Microsoft is not a party to them and has no obligation to provide support, maintenance or warranties for the add-in.

16 Limitation of liability

To the extent the law allows, and except as the license agreement states otherwise:

• DataMind is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising from the add-in or its output;
• DataMind’s total liability to you under these terms is limited to USD 100, because your organization’s license agreement governs the commercial relationship.

Nothing in these terms limits liability that cannot be limited by law.

17 Export and sanctions

You must comply with the export control and sanctions laws that apply to you and to DataMind. You may not use the add-in in, or make it available to anyone in, a country or to a person where that is prohibited.

18 Changes to these terms

We may update these terms. The date at the top shows the current version. If a change is material, we will tell you through the add-in, on this page or through your organization’s administrator before it takes effect. If you keep using the add-in after a change takes effect, the updated terms apply.

19 Governing law and disputes

These terms are governed by the laws of Georgia, and the courts of Tbilisi have jurisdiction, unless your organization’s license agreement names another law and venue, which then apply. Nothing here removes rights you have under mandatory law where you live.

20 General

These terms, the privacy policy and the license agreement are the whole agreement about the add-in. If a court finds part of these terms unenforceable, the rest stays in effect. If we do not enforce a right, we do not waive it. You may not transfer these terms without our written consent; we may transfer them with our business or to an affiliate.
